CIO 2021 updated Constitution
SPECIAL RESOLUTION
At a general meeting of the members of the CIO duly convened and held via Zoom on 2nd February the following special resolution was passed:
- That the constitution of the CIO be altered as follows:
- At the end of sub-clause 11.1.2 the following words are added:
“…and members are entitled to attend annual general meetings or general meetings either in person, (in the case of a member organisation) by an authorised representative, by proxy or by suitable other means agreed by the charity trustees in which all participants may communicate with all other participants, including to exercise their rights to speak and vote at such meetings”
- At the end of sub-clause 11.4.3 the following words are added:
“…and a general meeting may be postponed by the charity trustees after it has been called provided that any notice of postponement contains the information set out in this sub-clause in respect of the rescheduled meeting.”
- In sub-clause 11.6.2 the following words be added immediately after “whether present in person or by proxy”:
“…or by suitable other means agreed by the charity trustees pursuant to clause 11.1.2.”
- Sub-clause 11.9 is deleted.
- In clause 12.4.1 the figure “three” is inserted in place of “six” immediately before “charity trustees”
